Item 8.01. Other Events.

The Nominating and Governance Committee of the Board of Directors of Compuware Corporation (the “Company”) recommended and, on February 17, 2012, the Board of Directors unanimously approved an amendment to the Company’s Articles of Incorporation to implement a majority voting standard for the election of directors (the “Amendment”).  The Amendment will be submitted to the Company’s shareholders for approval at the next annual meeting of shareholders in accordance with Michigan law.
