ITEM 5.05 AMENDMENTS TO THE REGISTRANT’S CODE OF ETHICS, OR WAIVER OF A PROVISION OF THE CODE OF ETHICS.
The board of directors of AbitibiBowater Inc., doing business as Resolute Forest Products (the “Company”), adopted a resolution on February 14, 2012, to amend the Company’s Code of Business Conduct. The amendments update the Code of Business Conduct to reflect the Company’s adoption of an ethics reporting program, the adoption of new anti-corruption legislation in several jurisdictions and other technical clarifications and updates.
The Code of Business Conduct, as amended, is posted on the Company’s website at www.resolutefp.com, under “Corporate Governance” under the “About us” tab.
