Item 7.01         Regulation FD Disclosure

In a press release dated February 16, 2012, the Company announced its fourth quarter and fiscal year 2011 results.  A copy of the press release is furnished herewith as Exhibit 99.1

On February 13, 2012, Michael D. Bessette, Senior Vice President, announced his retirement from the Company effective February 29, 2012, and Peter G. Kaczmarek, Senior Vice President, left the Company to pursue other opportunities.
