Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 10, 2012, Garen Staglin notified Bottomline Technologies (de), Inc. (“Bottomline”) of his intention to resign from Bottomline’s Board of Directors, effective on June 30, 2012. Mr. Staglin is resigning in order to be able to devote more time to other professional commitments, including his role as Co-Chairperson of the One Mind for Research Campaign, a national campaign dedicated to bringing together public and private partners to accelerate the development of treatments and cures for brain disease.
Bottomline thanks Mr. Staglin for his contributions to the company.
