Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 15, 2012, Michael Baker Corporation (the “Company”) issued a press release announcing that on February 13, 2012, it appointed Lieutenant General (Ret.) Robert L. Van Antwerp to its Board of Directors. This action brings the total number of directors on the Company’s Board of Directors to ten. Lieutenant General Van Antwerp was most recently the Chief of Engineers of the United States Army and Commanding General of the U.S. Army Corps of Engineers. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
