Item 8.01.  Other Events.

On February 14, 2012, Rock-Tenn Company issued a press release announcing that it intends to commence an offering of senior notes, which it expects to include senior notes maturing in 2019 and senior notes maturing in 2022. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
