(d)  On February 13, 2012, the Board of Directors of Forestar Group Inc. (the “Company”) appointed Carl A. Thomason as a director of the Company.  Mr. Thomason was appointed to the Audit Committee and Nominating and Governance Committee of the Board of Directors of the Company.  For a description of the terms of the director compensation and agreements the Company enters into with its directors, see the description set forth in the section entitled “Director Compensation” in the Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on March 20, 2011.
