Item 8.01. Other Events.
On February 10, 2012, PSS World Medical, Inc. (the “Company”) issued a press release announcing its intention to offer, subject to market and other conditions, approximately $250 million aggregate principal amount of senior notes due 2022. The notes are being offered inside the United States to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The press release does not constitute an offer to sell or the solicitation of an offer to buy the notes. The notes have not been registered under the Securities Act or applicable state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws.
