Item 8.01          Other Items

On January 26, 2012, our board of directors approved an agreement and plan of merger to merge with and into our wholly-owned subsidiary Imogo Mobile Technologies Corp., a Nevada corporation, to effect a name change from Monza Ventures Inc. to Imogo Mobile Technologies Corp. Imogo Mobile Technologies Corp. was formed solely for the change of name.

This transaction is currently under review with the Financial Industry Regulatory Authority (“FINRA”). We will announce the completion of FINRA review and the effectiveness of the change on the market by filing a Current Report on Form 8-K.
