Item 7.01 Regulation FD Disclosure.

CNL Lifestyle Properties, Inc. (the “Company”) has been notified of an unsolicited “mini-tender” offer by CMG Partners, LLC (“CMG”) to purchase a maximum of 1,000,000 shares of the Company at a price of $4.75 per share in cash. The Company does not endorse CMG’s mini-tender offer and recommends that its shareholders do not tender their shares in response to the offer.

The Company has posted its response to the CMG mini-tender offer on its website at http://www.cnllifestylereit.com.
