(b) On February 1, 2012, John A.C. Swainson notified the Board of Directors of Cadence Design Systems, Inc. (“Cadence”) that he has accepted an appointment with Dell Inc. as President of Dell Software, and as a result will not stand for re-election at the next annual meeting of stockholders. Mr. Swainson will continue to serve as a director of Cadence until Cadence’s next annual meeting of stockholders, which is scheduled to be held on May 4, 2012.
