Item 5.02(b).         Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 3, 2012, W. Douglas Parker resigned from the Board of Directors of each of Pinnacle West Capital Corporation and its subsidiary, Arizona Public Service Company, due to other demands on his time.  Mr. Parker had been a board member since 2007.
