ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
On January 27, 2012, James C. Fleming, Executive Vice President and General Counsel of Wisconsin Energy Corporation, Wisconsin Electric Power Company and Wisconsin Gas LLC, notified the companies that he will be retiring effective April 1, 2012. Mr. Fleming will be stepping down as General Counsel effective March 1, 2012, but will continue to serve as Executive Vice President through the date of his retirement and will continue to advise the Chief Executive Officer and new General Counsel, Susan H. Martin, during such time.
The Board of each company appointed Susan H. Martin as Executive Vice President, General Counsel and Corporate Secretary of Wisconsin Energy, Wisconsin Electric and Wisconsin Gas, respectively, effective March 1, 2012. Ms. Martin is currently serving as Vice President, Corporate Secretary and Associate General Counsel of all three companies.
