Item 1.01. Entry into a definitive material agreements
On January 30,2012, we entered in to an Energy Service Agreement with the Monterey Bay Academy of La Selva Beach, California to construct and operate a Solar Farm on its site capable of producing 1 Megawatt of electricity. The term of the agreement is 20 years.
