Item 8.01. Other Events
On January 31, 2012, Tessera Technologies, Inc. (the "Company") and Starboard Value LP, together with its affiliates (collectively "Starboard"), issued a press release announcing that Starboard has agreed in writing to rescind its nomination notice for the election of directors at the Company's upcoming 2012 Annual Meeting of Stockholders (the "Annual Meeting"). The Company also confirmed that the Annual Meeting will be held on Friday, March 30, 2012 at the Company's principal executive offices, 3025 Orchard Parkway, San Jose, CA 95134, and announced it intends to file its definitive proxy statement on or about February 17, 2012.
