(b) On January 31, 2012, Conway J. Schatz resigned from the Board of Directors of Recovery Energy Corporation (the “Company”) and all other positions with the Company in order to pursue other professional and career obligations. Mr. Schatz’s resignation is not due to any disagreement with the Company on any matter related to the Company’s operations, policies or practices. The Company thanks Mr. Schatz for his invaluable services and contribution to the Company.
