Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 27, 2012, Mr. Hans Kessler informed the Board of Directors of Furmanite Corporation (the “Company”) of his desire to retire and not stand for re-election as a director of the Company at the 2012 annual meeting of stockholders. Mr. Kessler has been a director of the Company since 1998 and will continue to serve until the 2012 annual meeting of stockholders.
