Item 2.02. --Results of Operations and Financial Condition.
On February 1, 2012, Education Management Corporation issued a press release announcing its financial results for the fiscal quarter ended December 31, 2011. A copy of the February 1, 2012 press release is attached hereto as an exhibit and incorporated herein by reference.
