Item 8.01 Other Events.

On January 31, 2012, the U.S. Food and Drug Administration approved KALYDECO™ (ivacaftor) for patients with cystic fibrosis ages 6 and older who have at least one copy of the G551D mutation in the cystic fibrosis transmembrane conductance regulator, or CFTR, gene.

We have established a wholesale acquisition price for KALYDECO (ivacaftor) in the United States of $24,500 for a 30-day supply of KALYDECO ($294,000 on an annual basis).
