Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 25, 2012, Gary J. Taylor advised the registrant that he intends to resign from his position as Group President, Utility Operations, effective May 31, 2012. Mr. Taylor will continue to lead the registrant’s utility operations with a transition period to his successor, who will be named at a later date.
