     On January 27, 2012, Post Holdings, Inc. issued a press release announcing the pricing of its previously announced offering of senior notes due 2022 in a private placement to certain qualified institutional buyers pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended. A copy of the press release is attached hereto as Exhibit 99.1, and is incorporated herein by reference.
