Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 20, 2012, Roy S. Roberts resigned as a director of the registrant for personal reasons. Mr. Roberts indicated that he was recently appointed to a full-time position as the Emergency Manager of the Detroit Public School System and believes that such position does not currently leave him sufficient time to participate as a Board member at the high level he believes is required.
