On January 26, 2012, Boston Private Financial Holdings, Inc. (the “Company”) issued a press release announcing its financial results for the fourth quarter and year ended December 31, 2011. The text of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

Item 8.01    Other Information

The Company announced that its Board of Directors approved an amendment to the Company's Articles of Organization declassifying the Board, and will propose a stockholder vote to declassify the Board at the Company's 2012 Annual Meeting of Stockholders. The proposal is in response to the support that a shareholder proposal requesting annual elections of directors received at last year's annual meeting. If approved by the requisite vote, beginning at the 2013 Annual Meeting of Stockholders, stockholders will elect directors whose terms are then expiring, or the election of their successors, to one-year terms.
