Item 1.01. Entry into a Material Definitive Agreement.
On January 20, 2012, a subsidiary of Forestar Group Inc. (“Forestar”) entered into an Assignment and Assumption of Membership Interest with Dimensional Fund Advisors LP (“DFA”) under which Forestar sold its entire 25% membership interest in Palisades West LLC to DFA for $32 million, subject to customary adjustments and prorations. DFA is an existing member of Palisades West LLC.
The foregoing summary of the Assignment and Assumption of Membership Interest does not purport to be complete and is qualified in its entirety by reference to the text of the Assignment and Assumption of Membership Interest filed as Exhibit 10.1 to this Form 8-K and is incorporated by reference.
