Item 2.02 Results of Operations and Financial Condition.
On January 23, 2012, InterDigital, Inc. (the "Company") issued a press release announcing its preliminary results of operations and financial condition for the fourth quarter ended December 31, 2011.
A copy of such press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
Item 7.01 Regulation FD Disclosure.
The Company previously announced on July 19, 2011 that its Board of Directors initiated a process to explore and evaluate potential strategic alternatives for the Company. On January 23, 2012, the Company issued a press release announcing that its Board of Directors concluded this process.
A copy of such press release is furnished as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference.
