(b) On January 18, 2012, Henry L. Kotkins, Jr., a director of the Company since 1995, informed the Company that he will retire from the Company’s Board of Directors effective as of the Company’s 2012 Annual Meeting of Shareholders. The 2012 Annual Meeting of Shareholders is currently scheduled for March 6, 2012.
