Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers
On December 8, 2011, the Boards of Directors of Edison International and Southern California Edison Company (“SCE”) elected Peter J. Taylor to serve as a Director of Edison International and of SCE. In connection with his service, on January 12, 2012, Mr. Taylor entered into an Indemnification Agreement with SCE in the form filed as Exhibit 10.5 to SCE's Quarterly Report on Form 10-Q filed with the SEC on August 9, 2005 for the quarter ended June 30, 2005.
