Item 8.01 Other Events
On January 11, 2012, Jefferson Bancshares, Inc. (the “Company”) notified the Trustee for State of Franklin Statutory Trust II that, beginning with the January 30, 2012 interest payment period, the Company has elected to defer all payments of interest on the Company’s junior subordinated debentures for an indefinite period of time (but no longer than 20 consecutive quarterly periods). Under the terms of the indenture, the Company is prohibited from paying dividends on its common stock during the period that interest is deferred on the debentures.
