Item 7.01. Regulation FD Disclosure.

On January 9, 2012, members of Health Net, Inc.’s management team (the “Company”) expect to make a presentation and meet with investors and analysts at the 30th Annual J.P. Morgan Healthcare Conference (the “Conference”). During its presentation and meetings, the Company intends to address its prospects and historical performance, and will reaffirm the Company’s earnings guidance for the full year 2011, as previously announced in a press release issued on November 2, 2011, and the Company’s earnings guidance for the full year 2012, as previously announced in a press release issued on December 19, 2011.

The Company will give its presentation at the Conference at approximately 11:30 a.m. (Eastern Time). A live audio webcast of the presentation will be available in the “Investor Relations – Presentations and Webcasts” section of the Company’s website at www.healthnet.com and a replay of the Company’s presentation as well as the Company’s slides for the presentation will be available on the Company’s website. The Company’s slides for the presentation are also attached to this Current Report on Form 8-K as Exhibit 99.1.
