(a) Effective December 31, 2011, the Board of Directors of Gold Resource Corporation (the “Company”) adopted a Revised Code of Ethics which is intended to supercede the Company’s Code of Ethics and Business Conduct dated November 9, 2009. The Revised Code of Ethics updates the previous code to remove certain provisions that have become obsolete and includes additional guidance on related party transactions and U.S. Foreign Corrupt Practices Act compliance. A copy of the Revised Code of Ethics is attached to this report as Exhibit 14.1 and incorporated herein by reference and also available on the Company’s website at www.goldresourcecorp.com.
