On December 23, 2011, ConvergEx Group (“ConvergEx”) issued a press release announcing that ConvergEx and CVC Capital Partners (“CVC”) have mutually agreed to terminate their pending transaction, pursuant to which ConvergEx would have been acquired by funds advised by CVC. A subsidiary of The Bank of New York Mellon Corporation had agreed to sell a majority of the equity stake owned by the subsidiary in ConvergEx to funds advised by CVC as part of the transaction.
