(b) On December 19, 2011, Thomas Hoyer notified eDiets.com, Inc. (the “Company”), of his resignation as the Company’s Chief Financial Officer and corporate secretary. Under the terms of the Company’s employment agreement with Mr. Hoyer, the effective date of Mr. Hoyer’s resignation is March 19, 2012.
