Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 16, 2011 Sealed Air Corporation announced that, for fiscal years 2012 and 2013, William V. Hickey, President and Chief Executive Officer, will receive an annual cash salary of $100,000, with the remainder of his compensation to be paid with incentive compensation. All of incentive compensation will be in the form of equity and tied directly to the achievement of financial goals in those years, including items such as Adjusted EBITDA and net debt reduction.
