ITEM 1.01.       Entry into a Material Agreement.

 

On December 13, 2011, MarkWest Energy Partners, L.P. (the “Partnership”) and MarkWest Energy Operating Company, L.L.C. (the “Operating Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with Citigroup Global Markets Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated, Barclays Capital Inc., Morgan Stanley & Co. LLC, UBS Securities LLC and Wells Fargo Securities, LLC, as representatives for the several underwriters (the “Underwriters”) listed on Schedule I to the Underwriting Agreement, with respect to the issuance and sale in an underwritten public offering (the “Offering”) by the Partnership of 10,000,000 common units representing limited partner interests (the “Common Units”) at an offering price to the public of $54.25 per common unit. The Partnership has granted the Underwriters a 30-day option to purchase up to 1,500,000 additional common units to cover the Underwriters’ sale of additional Common Units, if any.  The Common Units sold in the Offering were registered under the Securities Act of 1933, as amended (the “Securities Act”), pursuant to a registration statement on Form S-3 (File No. 333-164323). The Offering closed on December 19, 2011. Legal opinions related to the Common Units are filed as Exhibits 5.1 and 8.1 to this Current Report on Form 8-K.

 

The Partnership intends to use the approximately $521.1 million in net proceeds from the Offering, after deducting underwriting discounts, commissions and offering expenses, as well as any exercise of the Underwriters’ option to purchase additional common units, to fund the proposed acquisition of all of the interests in MarkWest Liberty Midstream & Resources, L.L.C. held by M&R MWE Liberty, L.L.C., an affiliate of The Energy & Minerals Group.  If the Partnership does not consummate such transaction, it intends to use the net proceeds from the Offering for general partnership purposes, including, but not limited to, funding capital expenditures and general working capital.

 

The Underwriting Agreement contains customary representations, warranties and agreements of the Partnership and certain affiliates, and customary conditions to closing, indemnification rights, obligations of the parties and termination provisions.
