Item 3.02 Sale of Unregistered Securities
On December 16, 2011, Infrastructure Materials Corp. (the “Company”) announced that it completed a public offering in Canada of 26 million common shares at a purchase price of CDN$0.10 per share pursuant to an exemption afforded by Regulation S promulgated under the Securities Act of 1933. The Company received gross proceeds of CDN$2.6 million.
