Item 7.01. Regulation FD Disclosure.
On December 12, 2011, Sun Healthcare Group, Inc. ("Sun") delivered a letter to Clinton Group, Inc. The letter was in response to a letter to Sun’s Board of Directors received from Clinton Group on December 12, 2011. A copy of the letter sent by Sun to Clinton Group is attached hereto as Exhibit 99.1.
