Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 7, 2011, the Board of Directors of POZEN Inc. (the “Company”) approved a one-time cash bonus award of $25,000 to William L. Hodges, Senior Vice President, Finance and Administration, and Chief Financial Officer, in recognition of his efforts in connection with the Purchase and Sale Agreement recently entered into between the Company and CPPIB Credit Investments Inc. (“CII”), pursuant to which the Company sold for a purchase price of $75 million, and CII purchased, the Company’s right to receive future royalty payments arising from U.S. sales of MT400, including Treximet®, the Company’s sumatriptan / naproxen sodium product which incorporates the Company’s MT400 technology.
