Other Events.
|
On December 7, 2011, the Board of Directors of AboveNet, Inc. (the “Company”) authorized a share repurchase program of up to $200 million of the Company’s common stock (the “Repurchase Program”). The Board also authorized management to enter into one or more prearranged stock repurchase plans under Rule 10b5-1 of the Securities Act of 1934 in connection with the Repurchase Program. A plan under Rule 10b5-1 allows a company to repurchase its shares at times when it otherwise might be prevented from doing so under insider trading laws.
A copy of the Company’s press release announcing the repurchase program is attached hereto as Exhibit 99.1 and incorporated herein by reference.
