Item 8.01. Other Events.

On December 5, 2011, the Company announced that it has commenced a cash tender offer, for up to $150,000,000 of its 6 1/4% Senior Notes due 2013 on the terms and subject to the conditions set forth in the Offer to Purchase Statement dated December 5, 2011. The tender offer will expire at 11:59 p.m., New York City time, on January 5, 2012, unless extended or earlier terminated by the Company. The Company intends to finance the purchase of Notes in the tender offer and pay related fees and expenses using a combination of available cash and the proceeds from a new revolving credit facility on terms and conditions acceptable to the Company in its sole discretion, in an amount up to $750 million. A copy of the tender offer is subject to customary conditions, including, among other things, a financing condition.

On December 5, 2011, the Company issued a press release announcing the commencement of the tender offer. The press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
