Item 8.01. Other Events.

On November 29, 2011, National Retail Properties, Inc. (the “Company”) entered into an Underwriting Agreement with Wells Fargo Securities, LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and Citigroup Global Markets Inc., as representatives (the “Representatives”) of the several underwriters named therein (the “Underwriters”), for the public offering of 7,000,000 shares of the Company’s common stock, par value $0.01 per share (the “Common Stock”). The Company also granted the Underwriters an option to purchase up to 1,050,000 additional shares of Common Stock. The Representatives notified the Company of the Underwriters’ intent to exercise the full option to purchase 1,050,000 additional shares of Common Stock on November 30, 2011. The offering, including the settlement of the option shares, is expected to close on December 5, 2011.
