Item 1.01  Entry Into a Material Definitive Agreement

On November 30, 2011, Pac-Van, Inc. entered into a Second Amendment to Revolving Credit and Security Agreement (the “Second Amendment”) with PNC Bank, National Association, as administrative and collateral agent for the lenders of the senior credit facility of Pac-Van, Inc. (the “PNC Credit Facility”).  The Second Amendment amended one of the financial covenants of the PNC Credit Facility by increasing the permitted leverage ratio to 6.5:1.0 and by adding a provision to reduce amounts that could be borrowed under the PNC Credit Facility if leverage equals or exceeds 5.5:1.0.  The foregoing description of the Second Amendment is qualified in its entirety by the Second Amendment, which is attached hereto as Exhibit 10.1 hereto and is incorporated by reference herein.

In connection with the signing of the Second Amendment, GFN Mobile Storage Inc., a Delaware corporation (“GFNMS”) and wholly-owned subsidiary of General Finance Corporation, merged with and into Pac-Van, Inc. with Pac-Van, Inc. as the surviving corporation pursuant to an agreement and plan of merger (the “Merger Agreement”).  The foregoing description of the Merger Agreement is qualified in its entirety by the Merger Agreement, which is attached hereto as Exhibit 10.2 hereto and is incorporated by reference herein.
