Item 7.01. Regulation FD Disclosure.

On December 2, 2011, Consumers Energy Company (“Consumers Energy”), the principal subsidiary of CMS Energy Corporation (“CMS Energy”), announced its plan to cancel the development of the 830-megawatt clean coal power plant that it had planned to construct near Bay City, Michigan (the “Plant”). Consumers Energy is cancelling the Plant because of the same market factors that led it to defer development of the Plant in May 2010. Those factors primarily are reduced customer demand for electricity due to the recession and slow economic recovery, surplus generating capacity in the Midwest market, and lower natural gas prices linked to expanded shale gas supplies.

In addition, Consumers Energy announced an update of its air quality control plans, which include the anticipated suspension of operation of seven smaller units in 2015.

A Consumers Energy News Release making these announcements is attached as Exhibit 99.1.
