Item 8.01 Other Events.
On December 1, 2011, NSTAR (NYSE:NST) issued a news release announcing that its Board of Trustees has declared a pro rata dividend on its Common Shares in anticipation of completing its pending merger with Northeast Utilities. Additional information is contained in the news release attached hereto as Exhibit 99.1.
