Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On November 28, 2011, Neogen Corporation (the “Registrant”) amended its Articles of Incorporation with the state of Michigan increasing its total authorized shares to 60,000,000, $0.16 par value, from the prior level of 30,000,000 authorized shares, $0.16 par value.
This amendment was duly adopted by vote of the shareholders at a meeting held on October 6, 2011.
A copy of the amendment is attached as Exhibit 99.1 to this report.
