Item 7.01           Regulation FD Disclosure.
 
On November 28, 2011, Redwood Trust, Inc. (the “Company”) issued a press release announcing that the Company’s (i) President & Chief Executive Officer, (ii) Executive Vice President, Chief Investment Officer & Chief Operating Officer, and (iii) Chief Financial Officer will meet with certain institutional shareholders during the week of November 28, 2011 and will also present at the J.P. Morgan SMid Cap Conference on December 1, 2011.  The press release includes information regarding how investors can view a webcast of the presentation at the J.P. Morgan Conference and related presentation materials. A copy of the press release is attached as Exhibit 99.1 to this current Report on Form 8-K.

The presentation materials that will be used during these shareholder meetings and at the J.P. Morgan Conference will be available beginning at 1:30 p.m. (Pacific time) on November 28, 2011 through the “Investor  Information – Presentations” section of the Company’s website at:  www.redwoodtrust.com.  Further information regarding these presentations, the presentation materials, and the live audio webcast of the Company’s presentation at the J.P. Morgan Conference is set forth in Exhibit 99.1 to this Current Report on Form 8-K.
