Item 8.01 Other Events.
On November 28, 2011, AmeriGas Propane, Inc. (the "General Partner"), the general partner of AmeriGas Partners, L.P. (the "Partnership"), issued a press release announcing that UGI Corporation has voluntarily withdrawn, and will re-file, its notification and report form filed under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with the proposed acquisition by the Partnership of the propane operations of Energy Transfer Partners, L.P. The General Partner is a wholly owned subsidiary of UGI Corporation and, through subsidiaries, UGI Corporation has an approximate 44% ownership interest in the Partnership.
A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
