ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

At the November 16, 2011 meeting of the Company’s Compensation Committee, the Committee approved special bonuses totaling $6.75 million for key corporate executives who greatly contributed to the success of Esurance and Answer Financial over the years, concluding with the sale of those businesses in early October for a price of $700 million over tangible book value.  Named executive officers were awarded $3 million of this amount, including $2 million to Raymond Barrette and $1 million to Reid Campbell.
