I am pleased to share some exciting news -we have signed an agreement to combine with Alleghany
Corporation, a transaction bringing together leaders in U.S. E&S lines and global reinsurance.
After a thorough, deliberate review our Board of Directors unanimously concluded that partnering
with Alleghany represents the most compelling opportunity to preserve our franchise and to continue
serving you.
Prior to closing, both companies will operate independently. Following closing (which we anticipate
in the first quarter of 2012) we expect little or no change to our underwriting appetite, given
that Transatlantic will operate as a separate subsidiary within Alleghany.

It was extremely important to offer you clarity of direction before renewal season. I trust this
does so. As announced earlier this year, I will be handing over the reins to Mike Sapnar on January
1st with your help, I will hand over a thriving, vibrant business, with strong
relationships and a great future ahead of it.
