ITEM 8.01. OTHER EVENTS

On November 18, 2011, Oncor Electric Delivery Company LLC (“Oncor”) priced its offering of $300 million of its 4.55% Senior Secured Notes due 2041 to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933 and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act of 1933. The offering is expected to close on November 23, 2011, subject to the satisfaction of customary closing conditions.

The notes will be secured equally and ratably with all of Oncor’s other senior secured indebtedness. Oncor intends to use the proceeds from the sale of the notes to repay borrowings under its revolving credit facility and for general corporate purposes.
