Item 5.07 Submission of Matters to a Vote of Security Holders

On November 17, 2011, Constellation Energy held a special meeting of shareholders. At that meeting, the following matters were voted upon:

 

  1. Approval of the merger with Exelon Corporation on substantially the terms set forth in the Agreement and Plan of Merger, dated as of April 28, 2011, by and among Exelon Corporation, Constellation Energy and Bolt Acquisition Corporation, a wholly-owned subsidiary of Exelon Corporation:

  3. The proposal to adjourn the special meeting of shareholders, if necessary, to solicit additional proxies if there are not sufficient votes to approve the merger proposal, was not voted upon at the meeting since there were sufficient votes to approve the merger proposal.

 

Item 8.01 Other Events

On November 17, 2011, at a special meeting of Exelon Corporation’s (Exelon) shareholders, Exelon’s shareholders voted to approve the issuance of Exelon common stock to Constellation Energy shareholders in connection with the merger. The merger remains subject to other closing conditions, including regulatory approvals.
